General Business Terms and Conditions

1. Contractual Partner and Legal Status

This website (www.thedermalfiller.eu) is owned and operated by THEDERMALFILLER S.R.L., a company duly incorporated under the laws of Romania, with registered office at Str. Basel nr. 4, Ap. 2, 300127 Timisoara, Romania, EUID: ROONRC.J2013000700355, VAT ID (CUI): RO31368704 (hereinafter referred to as “TheDermalFiller®”, “THEDERMALFILLER®”,“we”, “us”, or “our”).

TheDermalFiller® acts as the sole contractual interface and transaction coordinator for all orders placed through the platform.

This platform operates strictly in a business-to-business (B2B) environment. Products are supplied exclusively to licensed healthcare professionals, medical institutions, and authorised commercial entities. Consumer sales are not conducted.

2. Acceptance and Applicability

These General Business Terms and Conditions (“Terms”) constitute the exclusive legal framework governing all contracts, transactions, and commercial relations concluded via this platform.

By accessing the website or placing an order, the customer expressly acknowledges, accepts, and agrees to be legally bound by these Terms, the Privacy Policy, and all applicable legal notices published on the website.

All contracts are concluded exclusively in English. Translations are provided for convenience only and have no legal value.

Any conflicting, additional, or deviating customer terms are expressly rejected and shall not apply, even if not explicitly objected to in individual cases.

No oral agreements, side agreements, amendments, or deviations shall be legally binding unless expressly confirmed in writing by THEDERMALFILLER S.R.L.

3. Legal and Regulatory Framework

All contractual relations are governed by Romanian law and directly applicable European Union regulations.

TheDermalFiller® does not guarantee that products are authorised, approved, or suitable for use outside the European Union.

The customer bears sole responsibility for verifying:

regulatory authorisation in their jurisdiction,

– import legality,

– licensing requirements,

– medical and professional compliance,

– customs, VAT, and fiscal obligations.
 

By placing an order, the customer expressly warrants that they are legally authorised to purchase, import, possess, and use the products in their jurisdiction.

TheDermalFiller® shall bear no liability for regulatory violations, customs seizures, administrative penalties, or professional sanctions arising from customer non-compliance.

4. Business Model and Fulfilment Structure

TheDermalFiller® operates as an independent EU commercial intermediary coordinating sourcing, supplier allocation, pricing execution, and transaction structuring within regulated B2B supply chains.

TheDermalFiller® does not perform physical manufacturing or warehousing operations.
All fulfilment activities are executed by authorised EU partners under coordinated commercial and regulatory frameworks.

All physical fulfilment, packaging, logistics, and transport are executed exclusively by licensed third-party EU distribution partners under legally binding supply and fulfilment agreements.

By placing an order, the customer expressly acknowledges and accepts this third-party fulfilment structure.

Risk of loss transfers to the customer upon dispatch from the authorised fulfilment partner’s warehouse.

4.1 Prescription-Only Medicinal Products

Certain products made available through the B2B intermediary framework may qualify as prescription-only medicinal products under applicable EU or national legislation.

The customer expressly declares and warrants that:

– it is duly licensed and authorised to procure, possess, store, and administer such medicinal products;

– all regulatory and professional requirements in the destination jurisdiction are fulfilled;

– no resale or onward supply to unauthorised persons will occur;

– products will be used strictly within approved medical indications and professional standards.

TheDermalFiller® acts solely as independent commercial intermediary and does not dispense medicinal products.

5. Delivery Zone

Orders are accepted exclusively from customers with billing and shipping addresses in the following jurisdictions:

Germany, Austria, Switzerland, France, United Kingdom, Spain, Italy, Denmark, Estonia, Finland, Luxembourg, Sweden, Bulgaria, Ireland, Latvia, Lithuania, Netherlands, Belgium, Norway, Poland, Portugal, Slovakia, Slovenia, Czech Republic, Romania, Hungary, Croatia, Greece.

Orders outside these jurisdictions shall not be processed.

For Switzerland and Norway, the customer bears full responsibility for customs clearance, import duties, VAT, and regulatory compliance.

6. Product Information and Availability

All product descriptions, specifications, availability statements, and pricing information are non-binding and subject to change.

TheDermalFiller® does not guarantee real-time stock availability.

If a product becomes unavailable after order placement and cannot be sourced within a reasonable period, the order may be cancelled and any payments received will be refunded in full.

Product images and descriptions are for informational purposes only. Packaging, labelling, or batch details may vary depending on the authorised distribution partner.

7. Contract Formation

Product listings constitute a non-binding invitation to submit a purchase request.

A legally binding contract is formed exclusively upon:
– issuance of a written order confirmation by TheDermalFiller®; and
– verified receipt of full advance payment.

Issuance of a proforma invoice does not constitute contract acceptance.
 

TheDermalFiller® reserves the right to refuse or cancel any order prior to confirmation.

8. Prices and Payment

Prices are stated in EUR and include VAT where applicable under Romanian law.

Shipping and handling costs are disclosed prior to confirmation.

Payment is accepted exclusively via bank transfer (SEPA or international) to the official company account stated on the issued Proforma Invoice.

Orders are processed only after full payment has been received and irrevocably credited.

Payment information transmitted via unofficial channels is not recognised.

Receipt of funds triggers immediate supplier allocation and transaction execution within the authorised supply network.

Invoices are issued exclusively by THEDERMALFILLER S.R.L.

8.1. Price Validity and Execution Timing

Quoted prices are time-sensitive and subject to supplier confirmation.
Execution must occur within the same business day following client confirmation.

Failure to proceed within this timeframe may result in:
– price revision;
– supplier reallocation;
– withdrawal of the offer.

9. Delivery Conditions

Estimated delivery timeframe: typically between five (5) and fourteen (14) working days from confirmed and irrevocable receipt of payment, depending on supplier allocation and regulatory compliance.

Delivery timelines are indicative and non-binding.

Delays may occur due to supplier release schedules, customs procedures, regulatory controls, transport disruptions, or force majeure events.

If delivery becomes objectively impossible or exceeds sixty (60) working days without justified cause, the customer may request written cancellation and refund.

Refunds in such cases shall be processed within fourteen (14) calendar days from written confirmation of cancellation.

TheDermalFiller® shall not be liable for indirect, incidental, or consequential damages arising from delivery delays, except in cases of proven wilful misconduct.

TheDermalFiller® coordinates execution but does not guarantee fixed delivery dates.

10. Refund and Cancellation Policy (B2B)

There is no statutory right of withdrawal in B2B transactions.

Refunds are granted exclusively where:

– delivery cannot be completed within the contractual framework; or

– procurement becomes objectively impossible.
 

Refunds are issued exclusively to the original paying account.

Refund processing time: up to fourteen (14) calendar days from written confirmation.

Bank processing time is not within our control.

Returns of delivered goods are accepted only in cases of documented transport damage or supply error, notified within fourteen (14) calendar days from delivery. 

Returns are not accepted for ordering errors, change of intent, or commercial reconsideration in B2B transactions.

Products must remain unopened, unused, and sealed.

No refunds apply once supplier allocation and execution have been initiated, except in cases of confirmed supplier non-performance.

11. Retention of Title

Ownership of goods remains with THEDERMALFILLER S.R.L. until full, irrevocable payment has been received and credited.

Until ownership transfers, goods may not be pledged, resold, encumbered, or transferred.

In case of payment default, TheDermalFiller® reserves the right to reclaim goods without prejudice to further legal remedies.

12. Limitation of Liability

TheDermalFiller® shall be liable only for damages resulting from intentional misconduct or gross negligence.

Liability for indirect, consequential, special, or lost-profit damages is excluded to the maximum extent permitted by law.

Total liability shall in no event exceed the net order value of the affected transaction.

13. User Account Security

Customers are responsible for maintaining the confidentiality of account credentials.

Accounts are non-transferable.

TheDermalFiller® may suspend or terminate accounts in cases of suspected misuse, fraud, or violation of these Terms.

14. Complaints Procedure

Complaints must be submitted in writing to contact@thedermalfiller.eu.

Acknowledgement is provided within three (3) working days.

A substantive response is provided within fourteen (14) calendar days where reasonably possible.

15. Governing Law and Jurisdiction

These Terms are governed exclusively by Romanian law.

The exclusive jurisdiction for all disputes shall be the competent courts of Romania.

TheDermalFiller® reserves the right to initiate proceedings at the customer’s place of business where legally permitted.

The company operates strictly in a B2B context and does not participate in consumer arbitration procedures.

16. Commercial Protection Clause

TheDermalFiller® operates as a structured commercial coordination layer within EU-regulated supply chains.

Any attempt to bypass this framework and engage directly with upstream suppliers may result in:
– loss of preferential pricing;
– exclusion from future transactions;
– termination of business relationship.
